Terms of Use

These Terms of Use (“Terms”) govern your access to and use of CED Export, operated by MD&A Inc., a Make More Creative project (“CED Export,” “we,” “us,” or “our”), at cedexport.ca. By creating an account or using the service, you agree to these Terms. If you do not agree, do not use CED Export.

1. The service

CED Export helps you create an export plan. You answer questions about your business, we perform automated market research, and our system uses artificial intelligence to generate a multi-section plan and a computed financial model that you can edit online and download as a document.

2. AI-generated content and no professional advice

CED Export uses artificial intelligence to generate your plan, and AI can produce inaccurate, incomplete, or outdated information. While we run an automated second-model review to flag unsupported claims, we do not guarantee that any plan is accurate, complete, or fit for a particular purpose. You are responsible for reviewing and verifying your plan before relying on it or sharing it with lenders, partners, or agencies.

CED Export does not provide legal, financial, tax, accounting, or other professional advice, and no plan should be treated as a substitute for advice from a qualified professional.

3. How your data is used with AI

To generate your plan, we send the information you provide, and the research we gather, to third-party AI providers. We choose providers whose commercial API terms state that they do not use data submitted through their API to train their models. As of the date above, plan generation uses Anthropic’s Claude models via Anthropic’s commercial API; Anthropic does not train its models on data submitted through that API. We do not use your data to train any models of our own, and we do not sell it. See the Privacy Policy for full details.

4. Your account

You must provide accurate information, keep your login credentials secure, and are responsible for activity under your account. You must be old enough to form a binding contract in your jurisdiction to use CED Export.

5. Your content and intellectual property

You retain ownership of the information you submit and of the plan generated for you, and you may use your plan for your business. You grant us the limited rights needed to process your information and operate the service (including sending it to the AI and research providers described above). We retain all rights in the CED Export platform, software, and design; these Terms do not grant you any rights in them.

7. Pricing, payment, vouchers, and refunds

The price of a plan is shown on the site (currently CAD $999 per plan). Payment is due at purchase and is handled by our payment processor. Eligible users may instead redeem a voucher provided by a sponsoring organization. Because generating a plan incurs non-recoverable AI processing costs, plans are generally non-refundable once generation has begun; we may consider refund requests made before generation at our discretion.

8. Third-party services

CED Export relies on third-party providers for AI, research, payments, storage, and hosting. We are not responsible for the acts, omissions, or terms of those providers, and your use of the service is also subject to their applicable terms.

9. Disclaimers

CED Export is provided “as is” and “as available,” without warranties of any kind, whether express or implied, including any warranty of accuracy, merchantability, fitness for a particular purpose, or that your plan will produce any particular business result.

10. Limitation of liability

To the maximum extent permitted by law, MD&A Inc. and its affiliates will not be liable for any indirect, incidental, consequential, or special damages, or for lost profits or business, arising from your use of CED Export. Our total liability for any claim relating to the service will not exceed the amount you paid for the plan giving rise to the claim.

You agree to indemnify and hold harmless MD&A Inc. from claims arising out of your misuse of the service, your violation of these Terms, or your violation of any rights of a third party.

12. Termination

You may stop using CED Export at any time. We may suspend or terminate access if you violate these Terms or to protect the service or its users.

13. Governing law

These Terms are governed by the laws of the Province of Alberta and the federal laws of Canada applicable there, without regard to conflict-of-laws rules. The courts located in Alberta will have jurisdiction over any dispute, subject to any non-waivable rights you have under applicable law.

14. Changes to these Terms

We may update these Terms from time to time. When we do, we will revise the “Last updated” date above. Your continued use of CED Export after changes take effect constitutes acceptance of the updated Terms.
